1. What this covers
A community association or its management firm (the "Association") may invite you, a contractor or vendor ("you"), to bid on a project through Civentry's bid center. You can respond to an invitation and submit a bid through a secure link, with or without creating a full account. By responding to an invitation, submitting a bid, or otherwise using the bid center, you agree to these terms.
2. Civentry's role: and what it is not
Civentry provides software that lets Associations create projects, invite vendors, collect bids, and compare them. Civentry is not a party to any contract between you and an Association, is not a general contractor, broker, or your agent, and does not select, award, guarantee, endorse, or vouch for any vendor or bid. Whether to invite you, consider your bid, award a project, or enter a contract is entirely the Association's decision. Any agreement for work is solely between you and the Association.
3. Your submissions
When you respond to an invitation or submit a bid, you may provide information such as your company and contact details, bid amount, scope, timeline, warranty, license number, proof of insurance, and proposal documents ("Submissions").
You represent and warrant that your Submissions are accurate, current, and not misleading; that you hold the licenses, insurance, and qualifications you claim; and that you have the right to provide everything in your Submissions and that doing so infringes no third-party rights.
You grant Civentry and the inviting Association a non-exclusive, worldwide, royalty-free license to host, store, copy, display, and use your Submissions to operate the bid center and to evaluate, compare, document, and act on your bid. The Association may retain records of your Submission as part of documenting its decision.
4. No fees to contractors at launch
At launch, Civentry does not charge contractors to receive invitations or submit bids, and does not sell leads. If Civentry later offers paid contractor tools, those will be optional and presented with their own terms and pricing before you incur any charge.
5. How your information is handled
Civentry handles your information as described in its Privacy Policy. Information you submit for a project is shared with the inviting Association so it can evaluate and document its decision. Do not submit Social Security numbers, full financial-account numbers, or other sensitive personal information; provide only what a bid reasonably requires.
6. Acceptable use
You will not: submit false, misleading, or fraudulent information; misrepresent your licensing, insurance, or qualifications; upload malware or attempt to compromise or gain unauthorized access to the bid center or any account or data; use the bid center to harass any person; or use it to access projects or information not directed to you. Civentry's Acceptable Use Policy applies to your use of the Service.
7. Disclaimers
The bid center is provided "as is" and "as available," without warranties of any kind to the maximum extent permitted by law. Civentry does not warrant that you will receive invitations, that your bid will be viewed or accepted, or that any project will proceed. Civentry is not responsible for the conduct, decisions, payments, or work of any Association or contractor, or for any dispute between them.
8. Limitation of liability
To the maximum extent permitted by law, Daddisyn Labs, LLC will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or business, arising from or related to the bid center or these terms. Civentry's total aggregate liability to you arising from or related to the bid center will not exceed one hundred U.S. dollars ($100), except to the extent liability cannot be limited under applicable law. Disputes between you and an Association are between you and the Association, and you will not look to Civentry to resolve or satisfy them.
9. Termination
You may stop using the bid center at any time. Civentry may suspend or end your access for violation of these terms or for risk to the Service or others. Sections 2, 3 (license and records), and 6–11 survive.
10. Governing law and disputes
These terms are governed by California law, without regard to conflict-of-laws rules. The informal-resolution, individual-arbitration, class-action-waiver, and Ventura County venue provisions in Civentry's Terms of Service apply to disputes between you and Civentry arising out of or relating to these terms, and are incorporated by reference.
